Governance by design

Governance & Institutional Architecture

Zamani Africa’s governance approach sets out principles and a phased institutional architecture intended to support neutrality, accountability, participant protection and eventual institutionalisation.

Institutional architecture

Zamani Africa’s institutional model brings together commercial operations, interim coordination and potential public-interest functions.

Zamani Africa Trade Systems Limited is identified as the intended commercial operating company, while the Technical and Policy Working Group supports the framework’s development and refinement. The institutional model also allows for consideration of a future public-interest structure if experience and evidence support it.

Commercial operating company

Zamani Africa Trade Systems Limited is identified as the intended commercial operating entity for the platform and related institutional intellectual property arrangements. Current incorporation and legal status should be confirmed before publication as a legal fact.

Technical and Policy Working Group

The Working Group has an interim mandate to develop, test, refine and validate the framework before formal institutionalisation. It is not presented as the board of a fully established institution.

Possible future public-interest vehicle

The institutional design contemplates assessing a future public-interest structure if evidence supports it. This page does not imply that a separate entity has already been incorporated.

Governance principles

Safeguards proposed for credibility and continental participation.

Neutrality and representation

The governance approach identifies continental representation and safeguards against control by a single individual, company or nationality as objectives as the institution scales.

Intellectual property governance

An institutional intellectual property framework is proposed to cover the brand, ASTRA-C documentation, FTV methodology, ITCA model and related materials.

Participant protection

Proposed frameworks address prohibited conduct, complaints, proportionate sanctions, appeals and confidential whistleblowing.
